Suite \u00e0 l\u2019annonce faite par GO p.l.c (\u00ab GO \u00bb ou \u00ab la Soci\u00e9t\u00e9 \u00bb) le 23 mai (\u00ab l\u2019Annonce \u00bb) concernant la s\u00e9lection de Tunisie Telecom en tant que Candidat S\u00e9lectionn\u00e9 pour l\u2019acquisition des actions de la Soci\u00e9t\u00e9, Tunisie Telecom confirme son intention de proc\u00e9der \u00e0 une offre publique d\u2019achat volontaire (l\u2019\u00ab Offre Publique d\u2019Achat Volontaire \u00bb) aupr\u00e8s de tous les actionnaires de GO au prix de 2,87 euros par action, comme exig\u00e9 et conform\u00e9ment au Chapitre 11 des R\u00e8gles de Cotation publi\u00e9es par l\u2019Autorit\u00e9 des Services Financiers de Malte.
\nCette offre permettra aux actionnaires de GO de c\u00e9der leurs actions, s\u2019ils le souhaitent, selon les termes et conditions inclus dans un prospectus qui sera publi\u00e9 par Tunisie Telecom dans les 21 jours qui suivent la date de l\u2019Annonce.<\/p>\n

Le 24 mai, Emirates International Telecommunications (Malta) Limited, d\u00e9tenteur de 60 786 292 actions de la Soci\u00e9t\u00e9 (repr\u00e9sentant 60% du capital \u00e9mis de la Soci\u00e9t\u00e9) s\u2019est engag\u00e9, sous r\u00e9serve de certaines conditions, \u00e0 accepter de fa\u00e7on irr\u00e9vocable l\u2019Offre Publique d\u2019Achat Volontaire \u00e0 hauteur de sa participation.<\/p>\n

Par ailleurs, Tunisie Telecom souhaite confirmer son intention de conserver le statut actuel de GO en tant qu\u2019entreprise cot\u00e9e \u00e0 la Bourse de Malte dans la mesure o\u00f9 la Soci\u00e9t\u00e9 demeure en conformit\u00e9 avec les crit\u00e8res de cotation. Par cons\u00e9quent, Tunisie Telecom ne cherchera pas activement \u00e0 atteindre le seuil pr\u00e9vu pour un retrait obligatoire des actions ou \u00e0 mettre en \u0153uvre des m\u00e9canismes de sortie de la cote. De plus amples d\u00e9tails sur le calendrier, les modalit\u00e9s et les conditions de l’offre seront communiqu\u00e9s en temps voulu.<\/p>\n
